When is the license of a representative office of a foreign trader revoked?

The establishment license is revoked when the office has not operated for 01 year and has not contacted the licensing authority; has not sent an operation report for 02 consecutive years; has not sent a report as requested within 06 months from the deadline or from the written request; or falls within another case under the law.

  • Revocation also leads to the obligation to terminate the office (HD-072); handling the procedure proactively beforehand is smoother.

Legal basis: Article 44 and Clause 5, Article 35 of Decree 07/2016/NĐ-CP.

Once a termination decision has been issued, what must the representative office still do?

The office must publicly post the termination notice at its premises and perform the related obligations under the law.

Legal basis: Clause 1, Article 38 of Decree 07/2016/NĐ-CP. Further reading: /kien-thuc/cham-dut-van-phong-dai-dien-thuong-nhan-nuoc-ngoai/.

How many times can the dossier to terminate a representative office be sent back for supplementation?

Once. Within 03 working days from the date of receiving the dossier, the licensing authority checks it and requests supplementation if it is incomplete; a request for supplementation may be made only once during the processing of the dossier. Within 05 working days from receiving a valid dossier, the licensing authority publishes the termination decision on its portal.

Legal basis: Clauses 2 and 3, Article 37 of Decree 07/2016/NĐ-CP. Thái Tín helps prepare the dossier before filing to minimize the need for supplementation.
